The terms that govern your use of Astra's website, products, and services.

1. Introduction and acceptance of these terms
These Terms and Conditions ("Terms") govern your access to and use of the websites, products, and services operated by Astra, including OneBook, OneBilling, HB (Healthcare Billing), DotGovBook, OneBanking / POS, and our IT consulting services (together, the "Services").
Astra is operated by AstraCorporate Limited (RC 9813397), together with its affiliated group entities operating in the United States, Nigeria, and Canada (collectively, "Astra", "we", "us", or "our").
By accessing our website, creating an account, or using any Astra product, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization, in which case "you" refers to that organization.
2. Who these Terms apply to
These Terms apply to visitors to our marketing website, prospective and existing customers evaluating or using an Astra product, and any individual or organization that interacts with our sales, support, or consulting teams.
Some Astra products are made available through separately hosted applications (for example, OneBook and OneBilling). Use of those applications may also be governed by product-specific terms presented at sign-up; where those terms conflict with this document on a matter specific to that product, the product-specific terms govern for that product only.
3. Eligibility and account registration
- You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or enter into a contract with Astra.
- You are responsible for the accuracy of the information you provide when registering for an account or requesting a demo, and for keeping your login credentials confidential.
- You are responsible for all activity that occurs under your account, and must notify us promptly at [email protected] if you suspect unauthorized use.
4. Acceptable use
When using the Services, you agree not to:
- Violate any applicable law or regulation, including data protection, financial services, or public procurement rules relevant to your sector;
- Reverse engineer, decompile, or attempt to extract the source code of any Astra product, except where permitted by law;
- Introduce malware, attempt unauthorized access to our systems, or interfere with the security or availability of the Services;
- Use the Services to store or transmit content that is unlawful, fraudulent, or infringes the rights of a third party;
- Resell, sublicense, or provide access to the Services to a third party without our prior written consent.
5. Products, pilots, and "coming soon" services
Astra's product portfolio includes services that are generally available today, and services marked as "coming soon" that are still in active development. Requesting early access to a coming-soon product does not create a binding commitment on Astra to deliver that product by any particular date, and features described on our website for such products are subject to change before general availability.
Where you enter into a separate order form, subscription agreement, or statement of work with Astra for a specific product or consulting engagement, that document's commercial terms (pricing, service levels, term length) take precedence over this general Terms page for that engagement.
6. Fees and payment
Astra's products are offered on a quote and subscription basis negotiated directly with our sales team; we do not publish self-service pricing on our website. Any fees, invoicing schedule, and payment terms will be set out in your specific order form or contract with Astra.
Unless otherwise agreed in writing, fees are non-refundable once a subscription term has commenced, and late payments may result in suspension of access to the applicable product.
7. Intellectual property
Astra and its licensors retain all right, title, and interest in and to the Services, including all software, designs, trademarks, and documentation. These Terms do not grant you any ownership rights in the Services.
Subject to your compliance with these Terms and any applicable order form, Astra grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during your subscription term.
You retain ownership of any data, records, and content you or your organization submit into an Astra product ("Customer Data"). You grant Astra a limited license to host, process, and display Customer Data solely to provide and support the Services.
8. Confidentiality
Each party may have access to non-public information of the other party in connection with the Services. Each party agrees to use the other party's confidential information only as necessary to perform its obligations, and to protect it with the same degree of care it uses for its own confidential information of similar importance, and in no case less than reasonable care.
9. Disclaimers
The Services are provided on an "as is" and "as available" basis. Except as expressly set out in a signed order form or contract, Astra disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We work to maintain high platform reliability across our products, but we do not guarantee that the Services will be uninterrupted, error-free, or fully secure against every possible threat.
10. Limitation of liability
To the maximum extent permitted by applicable law, Astra will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services.
Astra's total aggregate liability arising out of or relating to these Terms or a specific order form will not exceed the amount you paid to Astra for the applicable Service in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold Astra harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your misuse of the Services, your violation of these Terms, or your violation of any applicable law or third-party right.
12. Termination
We may suspend or terminate your access to the Services if you materially breach these Terms and fail to remedy that breach within a reasonable period of being notified, or immediately in cases of suspected fraud, security risk, or unlawful use.
You may stop using the Services at any time; termination of a paid subscription is governed by the cancellation terms in your specific order form or contract.
13. Governing law and dispute resolution
These Terms are governed by the laws applicable in the jurisdiction in which your contracting Astra entity is incorporated, without regard to conflict-of-law principles, unless a signed order form specifies a different governing law for that engagement.
The parties will first attempt to resolve any dispute informally by contacting each other in good faith before pursuing formal proceedings.
14. Changes to these Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. If we make material changes, we will update the effective date at the top of this page and, where appropriate, notify existing customers directly. Continued use of the Services after an update constitutes acceptance of the revised Terms.
